Domestic LLC Formation Fee

One-Time Filing Fee: $100[1]

To form an LLC in Virginia, you must submit the Articles of Organization to the State Corporation Commission (SCC). Once the documents are approved, your LLC will be recognized as a separate legal entity.

You can submit the Articles of Organization online, by mail, or in person. Filing online is faster, but you may be charged a convenience fee upon checkout.

What is an LLC Organizer?
In Virginia, an LLC organizer is the person who filed the Articles of Organization with the SCC. This person can be an LLC member, registered agent, or someone else.

Foreign LLC Formation Fee

If you already have an LLC in another state and want to expand your business to Virginia, register it as a foreign LLC.

To create a foreign LLC in Virginia, you must submit a Certificate of Registration to the SCC with the one-time filing fee. Don't forget to attach a Certificate of Existence.

Virginia allows series LLCs.
A series LLC has a main "parent" LLC that can create separate "series" within itself. Each series costs $100 to file with the SCC.[1] Each can hold its assets, contracts, and business activities.

Annual Registration Fee

Unlike most states, Virginia does not require LLCs to file an annual report. However, you must pay a flat registration fee to the SCC each year.

This fee is due at the end of the LLC's anniversary month the year after formation.[4] For example, if you formed your LLC on July 2024, your annual registration fee would be due by July 31, 2025, and every July 31st after.

You can pay online, by mail, or in person. If you send the check by mail, send it early, as it may take time to deliver and process.

Penalty for late annual registration
A $25 penalty will be added to your total bill if you fail to pay on time.[4] The SCC can also close your LLC if your annual registration remains unpaid by the last day of the third month after the due date.

Permit and License Fees

Virginia does not have a state-level general business license. Instead, it prefers to leave business licensing requirements to local jurisdictions and specific industries.

In Richmond and most other cities in the state, an annual business license costs at least $30. This fee can increase depending on the LLC's annual gross receipts. There is no fee for businesses with gross receipts of less than $5,000.[5]

You can renew the name reservation for another 120 days for the same price. However, you must renew within the 45-day window before the reservation expires.[11]
