If your LLC is already established in a different state and you want to expand your business to Nevada, you must register it as a foreign LLC. The filing fee is $75.[1]

To form a limited liability company in Nevada, you must submit the Articles of Organization to the Secretary of State.

A Nevada LLC's Articles of Organization contain the following information, among other details:[2]

A manager-managed LLC means only the designated manager is responsible for the daily operations. Alternatively, an LLC could be member-managed so all owners share equal responsibility in managing the business.

Nevada LLC Initial List

An initial list of managers or members must be attached to the Articles of Organization. It contains the name, address, and position of the LLC's managers or members.

Single-member LLCs don't need to list directors or secretaries on the Initial List of Managers or Members. List your name as the sole owner, then leave the rest of the positions (President, Secretary, Treasurer, and Director) blank.

Nevada's annual report form is called the Annual List of Managers or Members. It contains the updated name, address, and position of the LLC's managers or members. Even if those details haven't been changed, you must still submit this form.

The Annual List is due on the last day of your LLC's anniversary month. So if your LLC was formed on July 2024, its first Annual List is due on July 2025. You can file it as early as 90 days before the due date.

You can file the Annual List by mail, but it's quicker to do online. Log in to your Nevada Silverflume account, then review the LLC's manager or member details. Update details that have changed in the past year.

Avoid Late Fees and Dissolution
The Secretary of State charges a $75 late fee for annual reports filed after the due date.[1] Your LLC may also be closed if you continue to ignore this requirement. If this happens, you'll have to pay an additional $300 to re-open the LLC.[1]

Nevada LLC Business Permits and License Fees

Your Nevada LLC's state business license must be renewed each year for $200. If you file online, you can download the new license immediately.

However, the state business license is only free to download within 60 days of filing. After that, you'll need to pay for copies.

Additionally, your LLC may need to get local business permits. If your LLC does business in two cities, you may need to get a separate license for each city.

The local business permit fees vary per city and could be renewable yearly. In Henderson, Nevada, most business parts are renewable semi-annually.
